These Terms govern your access to and use of TenderMatrix (the “Service”). By using the Service, you agree to these Terms.

1. Eligibility

You must be able to form a binding contract and use the Service on behalf of your organization if applicable.

2. Accounts

You are responsible for maintaining the confidentiality of your account and for all activity under it.

3. The Service

TenderMatrix helps organize and draft tender/RFP compliance materials. Outputs are generated from your inputs and may contain errors. You are responsible for reviewing and validating outputs before submission.

4. Customer Content

You retain ownership of Customer Content. You grant us a limited license to host, process, transmit, and display Customer Content only as necessary to provide the Service, maintain it, and improve it.

5. Acceptable use

You agree not to:

  • Use the Service for unlawful, harmful, or abusive activities.
  • Upload content you do not have rights to use.
  • Attempt to disrupt, probe, or reverse engineer the Service.
  • Use the Service to develop a competing product (reasonable restriction).
  • Overload the Service (e.g., automated scraping).

6. Subscriptions and billing

Paid features require an active subscription. Prices and billing frequency are shown at checkout. You can cancel anytime; cancellation takes effect at the end of the billing period. Fees are non-refundable except where required by law.

7. Free tier limits

The free tier is limited (e.g., 1 document per organization). We may change limits over time.

8. Intellectual property

We own the Service, including software, design, and trademarks. These Terms do not grant you ownership rights.

9. Confidentiality

We treat Customer Content as confidential and do not sell it. However, Customer Content may be processed by our subprocessors (e.g., AI provider) to provide the Service as described in our Privacy Policy.

10. Disclaimers

The Service is provided “as is” without warranties of any kind. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, TenderMatrix will not be liable for indirect, incidental, special, or consequential damages. Our total liability for any claim will not exceed the fees you paid to us for the Service in the 12 months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the Service or violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if needed for security reasons.

14. Governing law

TODO: Specify governing law and venue before official launch. For now, disputes will be handled in a mutually agreed jurisdiction.

15. Changes

We may update these Terms from time to time. Continued use after changes means you accept the updated Terms.
